PURCHASE & SUBSCRIPTION POLICY

This Purchase & Subscription Policy (“Purchase Policy”) sets forth the terms and conditions for any Purchases that you make of any products or services offered by IMG Academy, LLC and National Collegiate Scouting Association, LLC (“Our”, “We”, “Us”, or “IMGA”), whether Purchased through Our websites, apps, customer support channels, or through authorized third-party partners.

PLEASE READ THESE TERMS CAREFULLY AND IN FULL. THEY CONTAIN CERTAIN CONDITIONS AND RESTRICTIONS ON THE AVAILABILITY AND USE OF IMGA PRODUCTS, INCLUDING ONE-TIME PURCHASES, PAID SUBSCRIPTIONS, ASSOCIATED ADD-ON FEATURES, AND TRIAL ELIGIBILITY, AS WELL AS INFORMATION ON WHAT HAPPENS AFTER YOUR PAID SUBSCRIPTION, TRIAL OR ADD-ON FEATURE ENDS.

CERTAIN PAID SUBSCRIPTIONS CONTINUE INDEFINITELY, AND YOU WILL CONTINUE TO BE CHARGED A RECURRING SUBSCRIPTION FEE AS DISCLOSED AT ENROLLMENT AND AT EACH RENEWAL, UNTIL YOU CANCEL YOUR ACCOUNT. SUBSCRIPTION PRICES MAY CHANGE NO EARLIER THAN RENEWAL AND WE WILL PROVIDE ADVANCE NOTICE AND A SIMPLE WAY TO CANCEL AS REQUIRED BY APPLICABLE LAW.

General Terms

Relationship to Terms of Use and Privacy Policy

Incorporation by Reference. This Purchase Policy is incorporated into, and forms part of, Our Terms and Conditions of Use located at https://www.imgacademy.com/purchase-policy (the “Terms of Use”). Our collection and use of personal information (including for billing, account administration, and required notices) is described in Our Privacy Policy located at https://www.imgacademy.com/privacy-policy (the “Privacy Policy”), which is also incorporated by reference.

Order of Precedence. If there is a conflict between this Purchase Policy and the Terms of Use regarding payments, billing, renewals, cancellations, refunds, returns, and purchase disputes, this Purchase Policy controls for those topics. The Terms of Use control for all other topics (including dispute resolution, arbitration/class action waiver if applicable, acceptable use, and account rules).

Acceptance. By placing an order, starting a trial, redeeming a pass or coupon, or otherwise purchasing or enrolling in a subscription (such actions referred to collectively as a “Purchase”) to one of Our products or services, you agree to the Terms of Use, this Purchase Policy, and the Privacy Policy.

Purchase Eligibility; Authority. You represent and warrant to IMGA that you are at least eighteen (18) years of age and have the legal capacity and/or power and authority to agree to and enter into this Purchase Policy on behalf of yourself and/or, if applicable, on behalf of your minor/child, if such minor/child will be a recipient the goods purchased or a participant in the package(s) Purchased hereunder; and, when agreed to by you, the Purchase Policy shall be enforceable against you and/or your minor/child, as applicable, and will be a legally binding obligation for you and/or your minor/child, as applicable.

When This Purchase Policy Applies.

Direct Purchases. This Purchase Policy applies to Purchases made directly with IMGA via Our websites, applications, or authorized customer support channels.

Purchases through Partners. This Purchase Policy also applies to Purchases of an IMGA product or service made through a third-party entity, agent, reseller, or other commercial partner of IMGA (collectively, a “Partner”), except to the extent the Partner is the merchant-of-record and its mandatory transaction terms control the payment processing for that specific transaction. The Partner may operate as the merchant-of-record for such Purchases and may collect payments from you and process refunds to you, including at the direction of IMGA. If any terms presented by a Partner in the course of Purchasing an IMGA product conflict with this Purchase Policy, the Partner’s terms will control solely for the payment transaction processed by the Partner, but Our Terms of Use, Privacy Policy, and this Purchase Policy will govern the redemption and use of the purchased IMGA product or service.

Changes to This Purchase Policy.

We may update this Purchase Policy from time to time. The “Effective Date” above indicates when it was last revised. Changes apply prospectively, except where required by law or where changes must apply to comply with legal requirements. Material changes will be communicated to you as required by law and/or consistent with the Terms of Use.

Orders, Currency, Pricing, and Taxes.

Currency. All prices for items sold are stated in U.S. Dollars.

Pricing and availability. Unless otherwise stated herein or at the time of purchase, prices, product availability, and offer terms may change at any time. We do not guarantee that any product, service, or price will be available for any duration, unless otherwise stated. Prices presented to you at the time of Purchase are the controlling prices for that transaction. For Subscriptions, any price change will apply no earlier than the next renewal term, and we will provide advance notice and a simple way to cancel as required by applicable law. All descriptions, images, references, features, content, specifications, and prices of products or services described or depicted on Our websites, apps, or other platforms or in customer support calls are subject to change at any time without notice, and We reserve the right to cancel or remove any Product from the Site at any time in Our sole discretion.

Taxes and Fees. You are responsible for applicable taxes (sales tax, VAT/GST where applicable, or use tax), shipping/handling charges, and any mandatory government fees relating to your Purchases, which will be disclosed at checkout where required.

Promotions and Discounts. IMGA may offer promotions or discounts from time to time. Additional terms may be presented with offers or promotions and should be reviewed carefully, as they will form part of this Purchase Policy. Promotional offers are subject to the specific terms disclosed with the offer, may be limited to certain products/periods, and may be modified or discontinued at any time. Promotion codes cannot be redeemed for cash unless required by law.

Partner Purchases. If you Purchase an IMGA product or service through a third-party platform, marketplace, app store, or Partner site, billing, renewals, cancellations, and refunds may be processed by that third party and may be subject to its terms. In those cases, you may be required to cancel through the third party, and any refunds will be governed by the third party’s policies, except where applicable law requires otherwise.

Minors and Children. If one of Our products or services is Purchased for use by anyone under eighteen (18)_ years of age, the product or service must be Purchased and managed by the individual’s parent or legal guardian (or another authorized adult), who is the contracting party and responsible for scheduling, consenting, and ensuring compliance with IMGA policies. Otherwise, We reserve the right to suspend or cancel the purchase.

Payments and Authorization.

Payment. Unless otherwise stated at the time of Purchase or in any Product Specific Terms (as set forth below), full payment is required at the time of Purchase.

Payment Methods. We may accept payment through credit and debit cards, as well as additional payment methods made available at the time of purchase. For Purchases of products with recurring or periodic payments, if the purchaser’s provided method of payment changes during the term of this Agreement, the purchaser must provide the updated billing payment method as soon as possible.

Authorization. In order to complete a purchase, you may be asked to provide certain information relevant to the transaction, including without limitation, payment information. In providing such information, you authorize IMGA (and Our payment processors) to charge your payment method for amounts due, including applicable renewals, and to store payment credentials as permitted by the payment processor and applicable law. You represent and warrant that the payment information provided is true, accurate, and complete and that you have the legal right to use the payment method used in association with the transaction. For Subscriptions and Free Trials that convert to paid Subscriptions, you authorize recurring charges and acknowledge that you must cancel before renewal (or before the end of the Free Trial) to avoid charges, as disclosed at checkout and in your receipt/confirmation.

Failed Payments. If a payment fails, We may (i) retry the charge, (ii) suspend access to the relevant product or service until payment is received, and/or (iii) terminate the order or subscription as permitted herein. In certain circumstances, We may contact you using the information provided at the time of attempted purchase to inform you of and address the payment failure.

Fraud and Misuse. We may cancel or refuse any order where We reasonably believe the transaction is fraudulent, unauthorized, or violates the Terms of Use.

Refunds. Refund eligibility (if any), the form of refund, and any conditions or fees applicable to refunds are product-specific and will be set forth in the applicable Product Specific Terms and/or presented to you at the time of Purchase. We may, in Our discretion, issue a refund or other remedy where required by applicable law or as a gesture of goodwill. A goodwill refund or credit does not create an obligation to provide the same in the future.

Where a refund is permitted or issued, We may provide the refund, as specified in the applicable Product Specific Terms or as disclosed to you at the time of Purchase, either: (a) to the original payment method used for the Purchase, or (b) as a credit applied to the original purchaser’s account (“Credit”). Where applicable, refunds will be provided in the manner required by law.

Unless otherwise set forth in the applicable Product Specific Terms or where required by applicable law:

• All Subscription fees are non-refundable once charged; and

• We will not provide prorated refunds or Credits for partial Subscription periods.

Credits and Expiration. Any Credits We may issue are non-transferable, and will be issued only to the original purchaser’s account. Credits are redeemable only by the original purchaser for eligible IMGA products and services, unless expressly stated otherwise at the time of issuance. Credits have no cash value and are not redeemable for cash except where required by applicable law. Credits must be redeemed within twelve (12) months from the date of issuance unless: (i) a different period is expressly stated at the time the Credit is issued, or (ii) applicable law requires a longer period or prohibits expiration, in which case the Credit will be available for the period required by applicable law.

Billing Disputes and Chargebacks. If you believe a charge was made in error, you agree to contact Us first so We can review and attempt to resolve the issue. Initiating a chargeback does not cancel any subscriptions; you must separately cancel in accordance with this Purchase Policy to stop future charges, as applicable. If you initiate a chargeback without first contacting Us (or if you repeatedly initiate chargebacks in bad faith or in a manner inconsistent with this Purchase Policy), We may, to the extent permitted by law and payment network rules, (i) suspend or terminate your access to the applicable product(s), services and/or account, pending resolution, (ii) require an alternative payment method for future Purchases, and (iii) decline future transactions associated with the account. If a refund or Credit is issued and you also initiate a chargeback for the same transaction, we may reverse any voluntary refund/Credit we have issued to prevent double recovery, as permitted by law. Nothing in this section limits any rights you may have that cannot be waived under applicable law.

Communications. By making a Purchase, you agree that We may send you transactional communications related to your order, subscription, or trial, such as receipts, renewal notices, and changes to our Terms of Use. Marketing preferences are governed by the Terms of Use and Privacy Policy, and by applicable law.

Payment Plans. By agreeing to this Purchase Policy, you agree that We may send you any required Truth-in-Lending Act disclosures (a “Disclosure Statement”) electronically, via an email that will provide you with a secure electronic link to the required disclosures. If applicable, by agreeing to this Purchase Policy, you are acknowledging that you have been provided with the necessary Disclosure Statement, which sets forth important terms of the credit to be provided to you, and you acknowledge that the Disclosure Statement instructed you to contact Us with any questions prior to accepting and endorsing this Purchase Policy. If applicable to you, you acknowledge that, by agreeing to this Purchase Policy, you have accepted the offer of credit as disclosed in the Disclosure Statement.

Subscriptions; Automatic Renewal; Free Trials.

Subscription Plans and Automatic Renewal. We may offer subscription-based products and services (“Subscriptions”) that continue for the subscription term selected at Purchase (e.g., monthly or annual) and that automatically renew for successive terms of the same length unless you cancel in accordance with this Purchase Policy. Where required by applicable law, the Subscription term, pricing, pre-renewal reminders, free-trial ending notices, and post-transaction acknowledgements will be disclosed at the time of Purchase and thereafter, as applicable. Unless otherwise stated, Subscriptions will be deemed to begin upon purchase.

Trials. We may offer free trials or promotional/discount periods of Our products or services (each, a “Free Trial”) that provide you with free access to a Subscription for a limited time. You may be required to provide us with a valid payment method to initiate a Free Trial. Unless expressly stated otherwise at the time of Purchase, when a Free Trial ends, it will automatically convert to a paid Subscription for such product or service, and We will charge the payment method on file for the applicable Subscription fees (plus taxes) unless you cancel before the end of the Free Trial. No customer may initiate more than one Free Trial for each IMGA product or service available for Purchase. Where required by applicable law, the Free Trial term, pricing, pre-renewal reminders, free-trial ending notices, and post-transaction acknowledgements will be disclosed in a clear and conspicuous manner at the time of enrollment and thereafter, as applicable.

Billing Authorization and Charges. By Purchasing a Subscription or starting a Free Trial that converts to a paid Subscription, you authorize Us (and Our payment processors) to charge the payment method you provide for: (a) any amounts due at Purchase or initiation (as applicable), and (b) recurring Subscription fees (plus applicable taxes) at the start of each renewal term unless and until you cancel.

Cancellations. You may cancel a Subscription or Free Trial at any time using the available cancellation methods described in your account settings or by contacting IMGA customer support as described in the “Contact Us” section of this Purchase Policy.

Unless required by applicable law or expressly stated otherwise for a particular product or service:

• Your cancellation will be effective at the end of your then-current Subscription term, and you will not be charged for subsequent renewal terms.

• You may continue to access the Subscription through the end of the then-current paid Subscription term.

If you cancel a Free Trial, your access will end immediately upon cancellation unless stated otherwise within the Free Trial offer.

Subscription Pricing. We reserve the right to update Subscription prices or plan features from time to time. Any price change will apply no earlier than the next renewal term and will be communicated to you in advance to the extent and in the manner required by applicable law. If you do not wish to renew your Subscription at a new price, you may cancel before your renewal date.

Consumer Rights. Certain jurisdictions impose specific requirements or consumer rights relating to automatic renewals and free trials, including any cancellations or refunds thereof. Nothing in this Purchase Policy limits any rights you may have that cannot be waived under applicable law.

“On-Site” Products.

This section applies to any IMGA Products that include visiting or accessing an IMGA-owned premises. We may exclude from any IMGA-owned premises or isolate any individual who (i) has a communicable illness, (ii) shows symptoms of a communicable disease, (iii) answers affirmatively to screening questions regarding a communicable disease, (iv) has been exposed to an infected person or a possibly infected person, or (v) who has travelled to certain areas where exposure is possible, if We determine, in Our sole discretion, that such exclusion or isolation is appropriate for the welfare of that individual and/or the welfare of other individuals at IMGA. In reaching the decision to exclude an individual from IMGA-owned premises or isolate an individual, We may consult with appropriate medical professionals and/or the Florida Department of Health and Rehabilitative Services.

As applicable, Purchaser/parents/guardians of the infected individual will be required to arrange for the individual to leave campus within 48 hours (international) or 24 hours (domestic) of receipt of notice. While We acknowledge the inconveniences this may cause, it is essential in maintaining a safe environment for the remainder of the IMGA community. If an infected is required to leave campus early, notwithstanding anything herein to the contrary, the purchaser will receive a prorated refund for any days remaining in their reservation following the attendee’s departure from campus. If an infected individual remains on campus following the 24/48 hour time limits referenced above, the purchaser/parent/guardian will be charged a fee of USD $320 per night, offset by any nights remaining in their reservation.

Product Specific Terms

The terms above apply generally to all of Our products and services (“General Terms”). The following section sets forth terms and conditions that may apply in addition to the General Terms and/or to specific to products and/or services offered by IMGA (“Product Specific Terms”). To the extent that the Product Specific Terms conflict with any General Terms, the Product Specific Terms shall control.

IMGA Camps.

This section applies to IMGA Camps and Youth Camp Excursions, (each, a “Camp Product”). Terms specific to IMGA Camp Pass are available at https://www.imgacademy.com/camp-pass.

Payments. Payment in full is required to confirm your reservation and receipt of the Camp Product. Unless expressly permitted by Us in writing, all amounts are due at the time of purchase.

If any balance remains outstanding for any reason (including in connection with Camp Pass redemptions), We may contact you using the information provided at Purchase to request and collect payment. If We do not receive payment in full at least thirty (30) days prior to the applicable Camp Product start date (including a Camp Check-In Date or Youth Camp Excursion departure date), We may, in Our discretion, cancel your Purchase/reservation, and you will not be entitled to participate in the Camp Product. Any refund or Credit (if any) issued in connection with such cancellation will be handled in accordance with the applicable cancellation/refund terms for the Camp Product.

Purchases made less than thirty (30) days before a Camp Product start date (or the applicable Camp Check-In Date) must be paid in full at the time of purchase, and all such Purchases are non-refundable, unless otherwise required by law.

For payments financed through Affirm, your repayment obligations are governed by Affirm’s terms and disclosures presented at checkout, in addition to this Purchase Policy.

Refunds, Cancellations and Rescheduling. We reserve the right to cancel or reschedule any Camp Product at Our sole discretion.

If We cancel or reschedule a Camp Product in its entirety, or materially alter a Camp Product and cannot provide a suitable alternative, We will use reasonable efforts to notify you and will provide (i) a Credit on file valid for one (1) year from the date of cancellation or material alteration of the original Camp Product, or as otherwise required by law, or (ii) at the purchaser’s request, a refund to the original payment method for the amount paid (including any discounted price actually paid). Refund requests may be made by contacting IMG Customer Support at the contact information provided in this policy. Delivery charges and other fees are non-refundable. We are not responsible for travel or other expenses incurred in connection with a cancelled, rescheduled, or changed Camp Product.

If you cancel or reschedule a Camp Product, your rights depend on the type of Purchase, as set forth below:

1. Refundable Camp Product Purchases. If you cancel at least 48 hours before your scheduled arrival, We will refund the amount paid less a 2.5% service fee. If you cancel less than 48 hours before arrival or withdraw after the Camp Product has begun, We will issue a Credit on file (or a pro-rated Credit if the Camp Product has begun), valid for one (1) year from the date of cancellation/withdrawal.

2. Flexible Camp Product Purchases. Flexible reservations are non-refundable. You may change your reservation up to 14 calendar days before the start date without a change fee. You are responsible for any price increase; any price decrease will be issued as a Credit on file valid for one (1) year.

3. Non-Refundable Camp Product Purchases. A $100 change/cancellation fee applies to any change or cancellation. If the revised selection costs more, you must pay the difference (plus the $100 fee). If it costs less, We will issue a Credit on file for the difference less the $100 fee, valid for one (1) year from the date of change. If you cancel the Camp Product entirely, We will issue a Credit on file for the amount paid less the $100 fee, valid for one (1) year. All changes/cancellations must be made at least 7 days before scheduled arrival; thereafter, no changes or cancellations are permitted.

Youth Camp Excursions. Excursions are non-refundable. Reservations must be made at least 72 hours before scheduled departure.

No-shows. If you are a no-show, you forfeit the entire amount paid and receive no refund or Credit, regardless of what Camp Product you Purchased.

Illness, Injury, Weather, and Program Changes. We have no obligation to offer a refund of any Camp Product in the event of time missed due to illness or injury. We may, in Our sole discretion, issue a Credit on file for full days missed due to illness or injury, early departure, inclement weather outside IMGA’s control, or changes to programming/curriculum.

Ejection and Conduct. We may refuse admission to, or eject, any person for conduct that violates Our Terms of Use or this Purchase Policy, without refund.

We are not liable for travel or any other expenses that you or anyone else incur in connection with a cancelled or rescheduled Camp Product.

All Camp Product purchasers and attendees shall comply with Our applicable rules, policies, terms, and conditions (“IMGA Rules”). We reserve the right, without refund of any amount paid, to refuse admission to, or eject, any person whose conduct Our personnel deems disorderly, who uses vulgar or abusive language, or who fails to comply with IMGA Rules. Breach of terms or rules will terminate your license to enter or be present on the IMGA campus and attend any Purchased Camp Product without refund. Each Camp Product is a revocable license, and admission may be refused without liability in the case of a breach of any of the foregoing. A Camp Product is not redeemable for cash, unless where required by law. Items included in a Camp Product do not grant access to unauthorized areas of Our premises and/or an event venue.

IMGA+ Essentials.

IMGA+ Essentials is a subscription service offering online courses, workshops, and additional resources.

No Refunds. IMGA+ Essentials purchases are final and non-refundable, except as required by applicable law.

Non-Transferability. IMGA+ Essentials purchases are available for use only by the purchasing account holder (or the intended recipient identified at Purchase) and may not be resold, transferred, or shared except where expressly authorized by IMGA in writing.

1:1 Coaching.

This section applies to performance, developmental, and educational coaching sessions offered by IMGA (“1:1 Coaching”) individually or in packages, as chosen by you at the time of Purchase.

Redemption Window / Expiration. When you purchase a 1:1 Coaching experience (each, a “Session”), you must schedule and complete your purchased Session(s) within the following redemption windows or they will expire, unless a different redemption window is provided to you at the time of your Purchase:

• Single Sessions: must be used within one (1) month

• 2-Session Package: must be used within one (1) month

• 4-Session Package: must be used within two (2) months

• 8-Session Package: must be used within four (4) months

• 12-Session Package: must be used within six (6) months

We may, from time to time and in Our sole discretion, offer packages of 1:1 Coaching Sessions that include a different number of Sessions than the packages set forth above. If We offer you a package of 1:1 Coaching Sessions with a number of Sessions other than 4, 8, or 12, the redemption window applicable to your Purchase of those Sessions will be calculated as one (1) month for every two (2) Sessions included in the package. By way of example only, if you are offered and choose to Purchase a package of two (2) Sessions, you will have one (1) month to redeem both of those Sessions, and if you are offered and choose to Purchase a package of six (6) Sessions, you will have three (3) months to redeem all six (6) of those Sessions.

The applicable redemption window is measured from your Purchase date (or, if different, the date your 1:1 Coaching Sessions become available in your account).

Any unused Sessions remaining after the applicable redemption window will automatically expire and will no longer be available for use, and you will not be entitled to any refund, Credit, or extension for any unused Sessions, except where required by applicable law. 1:1 Coaching packages are offered and priced based on the assumption that Sessions will be completed within the stated redemption windows; therefore, expiration is an essential term of the purchase.

Subscriptions to 1:1 Coaching Sessions. In addition to offering packages with a set number of 1:1 Coaching Sessions, as set forth above, We may, from time to time and in Our sole discretion, offer purchasers the opportunity to purchase a recurring subscription to a set number of Sessions that become available during each subscription term. If you are offered and choose to Purchase a recurring subscription to 1:1 Coaching Sessions, We will communicate the number of Sessions that will be available to you during each subscription term, and the redemption window that will apply to your subscription, prior to the completion of your Purchase. By continuing with any such Purchase, you agree to the stated subscription terms and redemption windows that We communicate to you, and you acknowledge and agree that any Session not redeemed within the stated redemption window will automatically expire at the end of the applicable subscription term.

No Refunds; No Cancellations. All 1:1 Coaching Purchases are final and non-refundable. They may not be canceled once purchased, except where required by applicable law.

Scheduling; Availability. Session scheduling is subject to coach availability and IMGA’s scheduling requirements. You are responsible for scheduling all Sessions before the applicable redemption window expires.

Rescheduling and Late/No-Show Policy. If you need to reschedule a Session that you have already scheduled, you must do so in accordance with IMGA’s then-current scheduling and rescheduling rules communicated at the time of scheduling. We may treat missed Sessions, late arrivals, or no-shows as redeemed Sessions (i.e., counted as used), except where prohibited by applicable law.

Non-Transferability. 1:1 Coaching Sessions may only be used by the purchasing account holder (or the intended recipient identified at Purchase) and may not be resold, transferred, or shared except where expressly authorized by IMGA in writing.

Program Changes. We may update or modify coaching content, formats, platforms, and coach assignments from time to time. Such changes do not entitle you to a refund or Credit.

IMGA Campus Store and Online Shop.

This section applies to purchases of merchandise and other tangible goods sold through IMGA’s physical retail locations (the “Campus Shop”) and/or IMGA-operated e-commerce storefronts (the “Online Shop”) (collectively, “Shop Goods”).

Orders and Availability. All Shop Goods are offered subject to availability. We reserve the right to limit quantities, discontinue items, and cancel or refuse orders where permitted by law (including where We reasonably believe an order is fraudulent, unauthorized, or violates our Terms of Use). For Online Shop purchases, an order is not accepted until we confirm acceptance and/or ship the item(s).

Shipping and Delivery. Shipping timelines are estimated and are not guaranteed.

Incorrect or Damaged Items. Please notify Us of any missing, incorrect, or damaged items within a reasonable time after delivery so We can investigate and assist. If We confirm an error or damage attributable to Us, We will, at Our discretion and as permitted by law: (a) replace the item, (b) provide an exchange (subject to availability), or (c) issue a refund to the original payment method.

Returns and Refunds. If, for any reason, you are not satisfied with your purchase, eligible items may be returned for a refund. If, in order to be eligible, a return must be received by IMGA within 30 days of the original date of Purchase, it must include the original receipt or order confirmation, and the returned Shop Goods must be in original condition, including all tags, labels, and packaging (if applicable). For eligible returns, We will issue a refund to the original form of payment used for the Purchase within ten (10) business days. If you are returning from outside the United States you must send your parcel, prepaid, via the carrier of your choice. Whichever carrier you choose, We suggest ensuring the parcel and securing a tracking number therefor.
